ADnet Policy Document Membership Categories
(Go to Membership Application if you want to print an application form) Introduction The purpose of this document is to identify the categories of membership in ADnet Inc. It should be read in conjunction with By-Law 1, Section 20. ADnet recognizes the requirement to have different categories of membership to meet the needs of public and private corporations and individuals conducting business in the Algoma District. Membership Categories Charter Member: One of the twelve original signatories of the ADnet Incorporation papers and initial Board of Directors member. A Charter Member does not pay annual fees and is entitled to one vote on all matters pertaining to the operation of ADnet Inc. A Charter Member is a Voter while serving continuously on the Board of Directors without regard to the Charter Member’s relationship to other membership categories. If there is a break in service on the Board of Directors, a Charter Member loses Voter status. Corporate Member: A public or private entity, whether for profit or not-for-profit. A Corporate Member is charged an annual fee set by the Board of Directors and is entitled to one vote on all matters pertaining to the operation of ADnet Inc. Any one employee or volunteer of a Corporate Member may be elected to the Board of Directors and upon election becomes the Voter for the Corporate Member. Otherwise, each Corporate Member is required to identify an individual and an alternate to be a Voter. Private Member: An individual in his or her right or an entity with less than five (5) employees in the province of Ontario. A Private Member is charged an annual fee set by the Board of Directors and is entitled to one vote on all matters pertaining to the operation of ADnet Inc. A Private Member may not be employed by an entity that would normally qualify to be a Corporate Member. A Private Member cannot be a Corporate Member’s representative. A Private Member or one employee of a Private Member may be elected to the Board of Directors and upon election becomes the Voter for the Private Member. Otherwise, each Private Member is required to identify an individual and, if available, an alternate to be a Voter. Director Member: An individual admitted as a member of ADnet Inc. by the Board of Directors, pursuant to By-Law 1 and related Board policies, for the purpose of standing for election to, and serving as a member of, the Board of Directors. A Director Member is charged an annual fee set by the Board of Directors and is entitled to one vote as a Voter on all matters pertaining to the operation of ADnet Inc. while serving on the Board of Directors. A Director Member ceases to be a member and the fees will be refunded if they are not elected to the Board as a result of the nomination. Associate Member: An Associate Member is an organization or individual approved for membership by the Board of Directors. An Associate Member pays annual dues as set from time to time by the Board. They cannot serve on the Board of Directors unless made a Director Member, and do not have a vote pertaining to the operation of ADnet Inc. An Associate Member can receive all economic benefits of ADnet membership and can partake in all ADnet meetings and committees. Voter: A Voter is an individual who exercises the voting privileges of an ADnet Inc member. A Voter, and an Alternate Voter where applicable, are identified in writing to the ADnet Secretary-Treasurer as part of the membership process. Ex Officio Member: An individual invited by the Board of Directors or a Committee Chairman to partake in ADnet meetings and discussions. The individual will normally possess an expertise that is of benefit to ADnet. An Ex Officio Member does not pay fees and is not entitled to a vote. Staff Member: An ADnet employee. The Board of Directors or the Executive Committee may appoint a Staff Member as an Ex Officio Member to any ADnet body. A Staff Member does not pay fees and is not entitled to a vote. Honorary Member: An Honorary Member is an individual awarded honorary life time membership in ADnet by the Board of Directors upon the recommendation of the Executive Committee. An Honorary Member may partake of ADnet meetings and discussions. An Honorary Member does not pay fees and is not entitled to a vote. Charter Members are eligible to become Honorary Members when they first cease to become a member or a voter. Honorary Members must not be a member in any other category or a Voter at the time of appointment but they can retain the honorary membership if they become members in another category or a voter after their appointment. An individual may be classified as more than one type of member. The individual shall be referred to as the type of member that is appropriate to the context. However, under no circumstances shall a single organization or individual have the right to exercise more than one vote on a given issue, (exclusive of any legitimately granted proxy rights.)
